LFE European Asset Management is a joint venture between Brookfield Asset Management and Oaktree Capital Management and is a regulated entity supervised by the Luxembourg Commission de Surveillance du Secteur Financier (CSSF) to provide services as alternative fund manager across Europe. Our role is to provide independent governance and oversight to Oaktree and Brookfield's Alternative Investment Funds (AIF), with rigorous risk controls, working in internal partnership with the group entities to support growth in Europe while adhering to the highest standards of integrity.
Scope and Responsibilities
The Company Secretary will support the Senior Company Secretary providing Company Secretarial services to the AIFM including the company secretarial services for the AIFs (and their respective general partners) managed by the AIFM and SPVs and will report to the Conducting Officer Portfolio Management Oversight.
The Company Secretary will be responsible for
- Supporting the Senior CoSec overseeing the day to day corporate/company governance duties, working on the full governance life cycle of the AIFM, AIFs and respective structures
- Co-ordinating ad-hoc, monthly and quarterly meetings
- Drafting documentation including agendas, board minutes, shareholder resolutions, powers of attorney, simple loan agreements, letters of direction and other standard corporate / transactional documents
- Arranging board meetings and setting meeting agendas
- Supporting the maintenance of books and records for the Conducting Officers and Compliance Officer
- Maintaining electronic databases and providing general administrative support within the AIFM team
- Maintaining stakeholder relationships (e.g. Brookfield and Oaktree operational teams, administrators, external company secretarial support providers)
Main responsibilities in detail
- Being a key contact for all matters of Luxembourg company law and corporate governance
- Arranging the necessary approval of documents and coordination of document execution (including notary liaison)
- Leading the incorporation / establishment process for Luxembourg AIFs and general partner entities
- Reviewing and drafting ad hoc legal documents, including flow of funds document (based on inhouse templates)
- Coordinating, preparing and attending boards, committees and shareholder's meetings, this includes the efficient preparation and distribution of
- board/shareholder/committees'
- Sending NBO notifications to the Board and the AIFM team
- Keeping a log of documents signed by the GP boards and ensuring that execution is ratified on a quarterly basis
- Assisting the Conducting and Compliance Officers with maintenance of books and records and coordinating the compilation of reports
- Maintaining internal company databases (Diligent and LED entities) and certifying accuracy on a quarterly basis
- Reviewing the AIFM and AIF's companies' documentation to ensure good corporate and legal standing
- Supporting due diligence activities - preparing KYC, AML and due diligence packs for DD on the AIFM, AIFs and GPs
- Assisting with fund onboarding team and process, including, liasing with legal counsel to procure an AIF code and marketing passport
- Maintaining marketing passport requirements (e.g. jurisdictional fees) and an internal AIF tracker noting AIFs under management AIF codes, reporting requirements and Swiss registrations
- Managing RCS, RBE filings and maintaining UBO registers
- Dealing with all other company secretarial tasks including coordination of statutory and regulatory filings and monitoring all other corporate events.
Experience required
- Legal degree or professional qualification (e.g. ICSA)
- Experience in the investment fund management company or AIFM sectors with a minimum 3 or more years of experience in Luxembourg in a similar environment
- Strong corporate governance and corporate secretarial skills are essential
- Strong understanding of regulations and fund structures and business process including domiciliation services
- Intermediate to advanced skills on MS Word, Excel and PowerPoint and Adobe Acrobat
