About this role

Wells Fargo is seeking an Assistant General Counsel who will be a member of the Legal Department and responsible for advising senior management on certain of the companys corporate disclosures, as well as assisting with various corporate treasury and corporate governance activities.

In this role, you will

  • Advise on public company matters, including SEC filings and other public disclosures, corporate treasury activities, corporate governance, and securities law compliance matters.
  • Review, provide comments, and advise on compliance with securities law requirements and best practices for significant environmental, social and governance disclosures, including implementation of the SEC's climate disclosure rules.
  • Advise our corporate treasury team on certain capital markets, securities, and funding transactions.
  • Participate in and handle various corporate governance activities, including activities related to the company's insider trading policy and procedures.
  • Provide substantive legal advice on securities law compliance matters, capital markets activities, disclosure controls and procedures, and corporate governance best practices.
  • Provide legal advice and influence objectives, plans, resources, and long-term goals for a variety of disclosures, treasury, and governance related activities.
  • Handle matters that have a significant impact on the companys operations, communications, funding, and reputation.
  • Provide legal expertise on implementing and completing significant corporate disclosures, corporate treasury transactions, and public company governance activities.

Required Qualifications

  • 5+ years of Law experience, or equivalent demonstrated through one or a combination of the following work experience, training, military experience, education
  • Active State Bar membership or the equivalent in a country outside the United States

Desired Qualifications

  • 5+ years of demonstrated knowledge and experience advising publicly traded companies on SEC filings and other public disclosures, corporate treasury, corporate governance, and securities law compliance matters.
  • Strong securities and corporate law background, including demonstrated knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and corporate governance principles for publicly traded companies.
  • Significant experience providing substantive securities law advice on a variety of corporate disclosures, as well as corporate treasury and corporate governance related activities.
  • Familiarity with disclosure controls and procedures applicable to publicly traded companies.
  • Financial services industry experience.
  • Strong attention to detail and accuracy.
  • Excellent verbal, written, and interpersonal communication skills.
  • Ability to work effectively in a complex environment with a high degree of collaboration.
  • Ability to analyze, develop, and execute solutions to complex legal issues.

Job Expectations

  • Ability to work a hybrid schedule (in office at least 3 days a week) at one of our approved job posting locations.
