Position Overview

Counsel will be responsible for providing legal advice in support of Apollo's Credit business (Apollo Credit) in Europe, with primary responsibility for transaction execution in EMEA. Counsel will own and actively manage all legal aspects of transactions, partnering closely with deal teams, external counsel, and the broader Legal, Tax & Compliance department. The Apollo Credit business in Europe covers a broad range of strategies including direct lending, corporate credit, investment grade, insurance and emerging markets. Counsel will play an integral role in supporting the growth of Apollo's Credit business in Europe.

Primary Responsibilities

  • Provide advice on all legal aspects of the Apollo Credit business's transactions from NDA signing to closing including coordinating approval and other internal processes and liaising with external counsel.
  • Drive strategic legal advice to the Apollo Credit business as they focus on new structures and products, strategic partnerships, de novo financing vehicles and other critical business building activities.
  • Collaborate with the Apollo Credit deal teams, portfolio managers and the wider Apollo Legal, Tax & Compliance, Finance and Operations teams on process improvements and other simplification initiatives to help support the growing business.
  • Partner with the Apollo Compliance team on advising the Apollo Credit deal teams on their regulatory obligations including in relation to lending directly in European jurisdictions and on transactions involving the disclosure of inside information.
  • Manage reputational risk and actual or perceived conflicts of interest that may arise including from allocations decisions and multi-tranche issues.

Qualifications & Experience

  • Top academic credentials in law (BA/BS/LLB) from a top university with 6-9 years PQE in the finance team of a top-tier law firm with a focus on private credit and restructuring.
  • Preferably in-house legal experience at a top-tier investment bank or alternative finance provider.
  • Experience advising creditors on private and public high yield financings (including acquisition financings, refinancings and add-ons), restructurings and other distressed transactions including liability management transactions.
  • Experience of investment grade financings including structured equity investments (such as preferred equity instruments, convertible bonds and minority equity positions) is an advantage.
  • Exceptional communication skills, both written and oral ability to distill complex concepts into discernable terms.
